Terms of Service

These Terms of Service include important information about your relationship with Liqsy and we encourage you to read them carefully.

Welcome

Liqsy is a profit-tracking dashboard for direct-to-consumer brands. We connect to your Shopify store, Meta Ads, and Google Ads accounts and surface unified profit metrics, P&L statements, and VAT calculations.

These Terms of Service ("Terms") govern your access to and use of Liqsy. By creating an account or otherwise using our Services, you agree to these Terms. If you do not agree, please do not use the Services.

Defined Terms

In these Terms, "Liqsy", "we", "our", or "us" refers to Sebastian Schadron, a sole individual operating Liqsy from Delft, the Netherlands.

"Services" refers to the Liqsy web application, the Liqsy website (liqsy.com), and any related products or features.

"User", "you", or "your" refers to the individual or entity that creates a Liqsy account or uses the Services.

"Connected Platforms" refers to third-party services such as Shopify, Meta, and Google that you authorize Liqsy to access on your behalf.

"Content" refers to data you enter into Liqsy or that Liqsy receives from Connected Platforms on your behalf, including orders, products, expenses, ad data, and notes.

1. Acceptance and your relationship with Liqsy

By creating an account or accessing the Services, you confirm that you are at least 16 years old, that you have read and understood these Terms, and that you agree to comply with them. If you are using Liqsy on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. The Services we provide

Liqsy is a profit-tracking and analytics tool. We connect to your Shopify store and your Connected Platforms, combine that data with manually entered expenses, and present unified profit metrics, dashboards, and reports.

Liqsy is read-only with respect to all Connected Platforms. We never modify your Shopify store, ad campaigns, or any other connected resource on your behalf.

We may add, remove, or modify features at any time. Material changes affecting paid plans will be communicated with at least 30 days' notice.

3. Your account

a. Account creation

To use Liqsy, you must provide a valid email address, create a password, and complete any required verification step. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

b. Connected Platforms

You may connect third-party platforms to Liqsy. By connecting a platform, you confirm that you are authorized to grant Liqsy the access scopes requested. You are responsible for managing the connection and revoking access when no longer needed.

c. Team access

Liqsy supports multi-user workspaces. Account owners can invite team members and assign roles (Owner, Editor, Viewer). The owner is responsible for the actions of all team members within their workspace.

4. Acceptable use

When you use Liqsy, you agree:

• You are an authorized user of any account or platform you connect.

• You will not use Liqsy to violate any third-party platform's terms of service.

• You will not attempt to access data outside the scopes you have authorized.

• You will revoke Liqsy's access to disconnected accounts in a timely manner.

• You will not use Liqsy to harass, defraud, or harm any third party.

• You will not reverse-engineer, decompile, or extract source code from the Services.

• You will not resell, sublicense, or redistribute the Services without our written permission.

• You will not attempt to interfere with the security, integrity, or operation of the Services.

We reserve the right to suspend or terminate your access if your usage violates these Terms or any third-party platform's Terms of Service.

5. Connected Platforms

Liqsy integrates with third-party services including Shopify, Meta, and Google. Your use of those services is governed by their respective terms, not by these Terms.

You are responsible for complying with each Connected Platform's Terms of Service. Liqsy's access to data is limited to the scopes you explicitly authorize during the connection flow. We do not control, endorse, or assume responsibility for any Connected Platform's content, services, or practices.

6. Intellectual property

a. Our intellectual property

Liqsy and all related software, design, logos, and content are owned by Sebastian Schadron and protected by copyright, trademark, and other applicable laws. These Terms do not grant you any right, title, or interest in our intellectual property.

b. Your Content

You retain full ownership of all Content you enter into or connect to Liqsy. By using the Services, you grant Liqsy a limited, non-exclusive, worldwide license to host, store, and process your Content for the sole purpose of operating the Services on your behalf. This license terminates when you delete your account or otherwise revoke access.

7. Beta and Founding Member program

Some features of Liqsy may be offered in beta or under a Founding Member plan during the early stages of the product.

Beta features are provided "as-is" with no warranty, may change, be removed, or moved to paid tiers without notice, and are subject to additional terms communicated at the time of beta access.

Founding Member free-for-life status is granted at our discretion to the first 50 brands who join during the launch period. Founding Member status is non-transferable and subject to ongoing acceptable use of the Services.

8. Subscription, billing, and cancellation

When paid plans become available:

• Subscriptions are billed monthly or annually in advance via Stripe.

• Prices are listed in EUR and exclude VAT where applicable.

• You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

• Refunds are issued only in cases of overcharging or material breach by us. Annual subscriptions are non-refundable beyond the first 14 days.

• We reserve the right to change pricing with at least 30 days' notice. Existing subscriptions will not be charged the new price until renewal.

9. Service availability

We strive to keep Liqsy available 24 hours a day, 7 days a week, but we do not guarantee uninterrupted service. We may perform scheduled maintenance and may experience unscheduled downtime due to factors outside our control, including third-party API outages and infrastructure issues.

We are not liable for losses arising from temporary service interruptions.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Liqsy is a financial-tracking and analytics tool. It is not a substitute for professional accounting, tax, or legal advice. Numbers shown in Liqsy are for informational purposes only. Always consult a qualified accountant or tax professional before making business decisions based on Liqsy's metrics.

11. Limitation of liability

To the maximum extent permitted by law, Liqsy and its operator are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, lost data, or business interruption, arising from your use of (or inability to use) the Services.

In any event, our total liability for any claim under these Terms shall not exceed the greater of (a) the amount you paid to Liqsy in the 12 months preceding the claim, or (b) 100 euros.

12. Indemnification

You agree to indemnify and hold Liqsy and its operator harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights or applicable laws.

13. Termination

You may terminate your account at any time by deleting it from your account settings. We may suspend or terminate your access to the Services if:

• You violate these Terms.

• You violate a Connected Platform's Terms of Service via Liqsy.

• We are required to do so by law.

• We discontinue the Services, with at least 30 days' notice.

Upon termination, your data is deleted as described in our Privacy Policy at liqsy.com/privacy.

14. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively by the courts of the Netherlands, except where you have mandatory consumer rights to bring claims in your country of residence.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes in our Services or applicable law. The "Last updated" date at the top of these Terms indicates when they were last materially revised.

We will notify Users of material changes by email or through an in-app notice at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
